Rights to Use
Introduction
This Intellectual Property Policy ("Policy") outlines the terms regarding the ownership, usage, and transfer of intellectual property rights for all design work created by Fab IT Solution ("Company"). This applies to all clients ("Clients") who engage the Company for logo design, website development, and digital services.
Ownership of Intellectual Property
All intellectual property rights including but not limited to copyrights, trademarks, and proprietary rights related to works created by Fab IT Solution ("Works") shall remain the sole property of the Company until officially transferred to the Client under agreed terms.
Copyright and Transfer of Rights
1. Exclusive Rights: Fab IT Solution retains all copyright ownership of the Works, even after full payment of the design service. Payment does not automatically transfer intellectual property rights.
2. Copyright Transfer: Clients may request full copyright ownership under a separate written agreement. This transfer is subject to an additional fee and takes effect only after full payment and formal agreement by both parties.
Usage Restrictions
Clients may not modify, reproduce, sublicense, distribute, or use the Works outside the scope of the original agreement without prior written consent from Fab IT Solution. Any unauthorised use may result in legal action.
Payment and Fees
1. Service Fees: Payment for design services must be made according to the terms outlined in the service agreement.
2. Copyright Fees: Copyright transfer requires a separate agreement and payment. Rights will be granted only upon receipt of full payment.
Termination and Revocation
Fab IT Solution reserves the right to revoke or terminate any granted usage rights if the Client breaches this Policy or the service agreement. Upon termination, the Client must cease all use of the Works and destroy or return all materials.
Indemnification
The Client agrees to indemnify and hold harmless Fab IT Solution from any claims, damages, or legal actions resulting from the misuse or unauthorised use of the Works. This includes claims of infringement from third parties.
Governing Law
This Policy is governed by the laws of Australia. Any legal disputes related to this Policy shall be resolved in the jurisdiction of Australian courts.
Amendments
Fab IT Solution reserves the right to amend this Policy at any time. Clients will be notified of changes, and updated terms will take effect upon communication.
Acceptance
By using Fab IT Solution's services, the Client confirms acceptance of and agrees to comply with the terms outlined in this Intellectual Property Policy.
